These Terms & Conditions ("Terms") govern all wholesale (business-to-business) transactions and use of the website jayscotts-europe.com (the "Website") and the Jay Scotts Europe trade programme. By accessing or using the Website, registering for a trade account, or placing an order, you agree to these Terms. Please review them carefully to understand your rights and obligations.

1. The Seller

The Website and the Jay Scotts Europe trade programme are operated by:

2. Definitions

  • Trade Partner / you: a business, and its authorised representatives, that registers for and is approved to use a trade account, acting in the course of its business and not as a consumer.
  • Trade Account: the password-protected account giving access to trade pricing and partner resources.
  • Products: the Jay Scotts® planters and related items offered through the Website.
  • Price List: the trade price list applicable to your Trade Account.
  • Sales Order Confirmation: the document we issue confirming the details of your order.

3. Scope

Jay Scotts Europe operates on a wholesale-only (B2B) basis, distributing EU-stock, backorder, and made-to-order goods to a closed network of professional partners (such as wholesalers, retailers, interior designers, landscape architects, architects, and hospitality and property professionals). The Website and trade programme are not directed at, or intended for, consumers.

4. Trade account and eligibility

Registration is subject to review and approval at our discretion, and may be declined or revoked where eligibility cannot be verified or where these Terms are breached. You confirm that you register and purchase in the course of your business.

You must provide accurate, current and complete information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Trade Account, and must notify us promptly of any unauthorised use. We never ask for your password by email.

5. Prices and currency

All prices are quoted in euro (EUR) and are exclusive of VAT and any other applicable taxes, duties, levies and shipping/delivery costs. Prices apply to orders placed within the validity period shown on the Price List.

Shipping and delivery charges are quoted separately and added to your order. Shipping cost depends on the number of pieces and the size and weight of the cartons; your Key Account Manager will always arrange the most favourable terms available to you. For deliveries to destinations outside the EU, prices also exclude customs duties and import charges, which are payable by the Trade Partner.

Your Trade Account may carry an agreed partner discount, which forms part of your trade terms and is confidential to your account. We may update the Price List from time to time; the price applicable to an order is the price in effect when that order becomes binding. Any recommended retail prices we may publish are non-binding guidance only — you remain entirely free to determine your own resale prices.

6. Order types and lead times

a) EU Stock Orders. Products available from European stock. Indicative lead time: approximately 2 weeks. Faster express options may be available on request.

b) Backorder Items. Products on shipments already in transit to Europe. Lead times depend on production and freight schedules; your Key Account Manager can confirm the contents and expected arrival dates of inbound shipments.

c) Made-to-Order, large-volume or out-of-stock Items. Products produced to your specification — including custom colour matching to any colour you specify, not limited to RAL references — and selected finishes, together with large-volume or out-of-stock orders. Indicative lead time is approximately 10–14 weeks. Custom colours are produced at no colour surcharge; only the cost of producing and approving a physical colour sample is borne by the Trade Partner. Custom colours are subject to a minimum order quantity of 20 units per model, per colour. Custom moulds (bespoke shapes) require a separate tooling fee.

All lead times are estimates and not guaranteed; your Key Account Manager will provide precise timing for your order.

7. Orders and order confirmation

An order placed through the Website or with your contact is an offer to purchase. We review the order and issue a Sales Order Confirmation setting out the Products, quantities, prices, charges and delivery details. You must review all details in the Sales Order Confirmation. The order becomes binding upon our receipt of payment. We may decline an order, for example where a Product is unavailable, where pricing or product information contained a manifest error, or where eligibility cannot be verified.

8. Modifications and cancellations

Requests to modify or cancel an order must be made within 24 hours of payment. After this period, orders are final. Made-to-order Products cannot be cancelled once production has commenced.

9. Payment terms

Orders are placed on a full-prepayment basis — an order becomes binding upon our receipt of payment, and we do not begin processing or production before payment is received. Accepted payment methods are bank transfer, advance payment, credit/debit card and PayPal, processed via our payment provider SimplePay (OTP Mobil Ltd.). Any tooling fee for custom moulds is invoiced in addition to the Product price. We do not offer credit terms unless separately agreed in writing.

10. Shipping, delivery and risk

Unless otherwise agreed in writing, deliveries are made on a DAP basis to the delivery address specified in the order confirmation (Delivered at Place, Incoterms® 2020).

We arrange carriage to the specified delivery address, typically using DHL or another suitable carrier. Shipping and delivery charges are calculated separately, quoted before the order is confirmed, and added to the order total in accordance with Section 5.

We bear the risk of loss of or damage to the Products during carriage to the specified delivery address. Risk passes to you when the Products are placed at your disposal at that address, on the arriving means of transport and ready for unloading.

Unless expressly included in our quotation or order confirmation, unloading at the delivery address is your responsibility. Any additional delivery services, including unloading, assisted delivery or delivery beyond the normal point of access, must be agreed and quoted separately in writing.

For deliveries to destinations outside the European Union, you are responsible for import customs clearance and for paying any applicable import duties, import VAT, taxes and other charges imposed upon importation. We will provide the commercial invoice and any other relevant customs documentation reasonably available to us. You must provide any information and assistance reasonably required to complete the import formalities.

Products may be dispatched from stock currently held in Europe or allocated from incoming shipments already in transit to Europe. Any delivery date or timeframe provided is an estimate unless expressly confirmed by us in writing as a guaranteed delivery date.

11. Warranty and claims

Jay Scotts® Products are covered by a 3-year manufacturer's warranty against manufacturing defects, on the terms published with the Products. Project-specific warranties are available on request. The warranty does not cover damage resulting from misuse, improper installation, or normal wear. You must inspect Products on delivery and notify us of any visible damage or shortage without undue delay, and of any latent defect within a reasonable period of discovery. Statutory warranty rights applicable to B2B sales under Hungarian law apply in addition.

12. Returns

As a business customer, you have no statutory right of withdrawal applicable to consumers. We do not accept returns of non-defective goods. Made-to-order Products cannot be returned except where defective.

13. Liability

To the extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, or loss of business arising from the use of the Website or the Products, and our total liability in connection with an order is limited to the value of that order. Nothing in these Terms limits liability that cannot be limited under applicable law (including for death or personal injury caused by negligence, or for fraud).

14. Customer obligations

You agree to provide accurate order information, to ensure suitable access for delivery, and to inspect Products upon receipt. You agree not to misuse the Website, including by attempting unauthorised access, interfering with its operation, scraping data, or using it for any unlawful purpose.

15. Intellectual property

The Website and its content (including text, images, designs, logos and the *Jay Scotts®* trademark) are owned by or licensed to us and are protected by intellectual-property laws. We grant approved Trade Partners a limited, revocable, non-exclusive right to use product images and brand assets we provide solely to market and resell the Products, in line with any brand guidelines we issue. No other use is permitted without our prior written consent.

16. Confidentiality

The Price List, your partner discount and other non-public commercial terms are confidential, and you agree not to disclose them to third parties except as strictly necessary and under equivalent confidentiality obligations.

17. Data protection

We process personal data in accordance with our privacy notice, published on the Data Protection page of the Website (jayscotts-europe.com/data-protection), which forms part of these Terms. The data-transfer statement relating to our payment provider is set out in Section 20.

18. Governing law and jurisdiction

These Terms and any non-contractual obligations arising from them are governed by Hungarian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The courts having jurisdiction over the Seller's registered seat shall have jurisdiction over any dispute, subject to any mandatory rules that apply.

19. Amendments

We may amend these Terms from time to time. The current version is always available on the Website, with the "Last updated" date shown above. The Terms in effect when an order becomes binding apply to that order.

20. SimplePay data-transfer statement

I acknowledge that the following personal data stored in the user database of jayscotts-europe.com by the data controller Iconist Tanácsadó és Szolgáltató Kft. (1161 Budapest, Baross utca 87. b. ép., Hungary) will be transferred to SimplePay (OTP Mobil Ltd.) as data processor.

The scope of data transferred by the controller:

  • Email
  • Telephone
  • Billing address
  • Shipping address
